Junior Level Associate : Corporate / M&A

Responsibility:

  • Advising clients on regulatory, compliance and legal matters, including various legal issues and concerns, corporate and commercial laws, foreign direct investment, joint ventures, M&A transactions, and other matters as requested by clients.
  • Preparing, reviewing and handling various types of legal documents in connection with deals and transactions, including drafting and reviewing commercial agreements such as share purchase agreements, shareholders’ agreements, joint venture agreements, share subscription agreements, articles of association, and other related documents.
  • Drafting and preparing legal advice and/or legal opinions on various corporate and commercial matters.
  • Conducting legal due diligence and preparing due diligence reports based on the findings of the investigation.
  • Handling corporate secretarial matters for private and public companies, including attending and preparing minutes of meetings of the Board of Directors and shareholders, as well as preparing and updating statutory corporate records such as share register books and share certificates.
  • Handling incorporation and registration procedures for changes to corporate particulars, including preparing and submitting applications to the Ministry of Commerce, as well as handling VAT and Social Security registrations and amendments.

Qualifications we are looking for:

  • LL.B or LL.M. degree with outstanding academic credentials.
  • 1-2 years of hands-on experience at a reputable law firm.
  • Proven technical and practical knowledge of Thai laws.
  • Excellent command of Thai and English, both written and spoken.
  • Strong work ethic and a can-do attitude.
  • Ability to work independently and effectively as part of a team.
  • Excellent interpersonal, organizational and planning skills, with a service-minded approach, strong problem-solving abilities, attention to details, and a proactive and enthusiastic attitude.
  • Ability to draw on deep legal expertise and work effectively alongside regulatory and other specialist teams.
  • Ability to develop innovative and creative solutions to complex legal issues.
  • Experience in part or all of the domestic and cross-border transactions.
