Corporate/M&A

• Advising the owner and operator of a luxury hotel and villa brand being the subsidiary of a SET-listed property development company to operate and manage a luxury hotel and rental villa owned by a Chinese company located at Shimei Bay Development District, Hainan, PRC.
• Advising a large Japanese property developer in conducting legal due diligence of a SET-listed property development company and its subsidiaries for the purpose of establishing a joint venture company to develop and manage warehouses, logistics parks and other industrial property in Thailand. 
• Advising a leading global hotel booking platform company in its global business restructuring, including Thailand to spin-off the destination management business from a number of entities within its perimeter.  
• Advising a US multinational sports apparel and footwear company in connection with a legal terms project to develop a globally consistent Terms of Use, Terms of Sale and Privacy Policy for its website, and other regulatory and compliance advice.
• Advising a large Japanese property development company with a SET-listed property development company in establishing joint venture companies to develop property and residential condominium projects in Thailand
• Advising a global life insurance company on the acquisition of 100% shares in a wholly-owned life insurance subsidiary of a SET-listed bank and advising on the bancassurance agreement between the parties.

Capital Markets

• Advising a SGX-listed company in its contemplated reverse takeover transaction by conducting legal due diligence on Thai subsidiaries of a Singaporean company, and providing a write-up on the relevant Thai laws and regulations to be included in the Reverse Takeover (RTO) prospectus/circular for submission to the Singapore Exchange Securities Trading Limited (SGX-ST).
