Biography

Praphan has extensive experience in taxation law, foreign investment, corporate / M&A, commercial and real property matters. He regularly advises international and large domestic clients on the legal and tax considerations on inbound and outbound investments, effective investment structuring, joint ventures and consortiums, shareholders’ agreements, M&A, corporate reorganization, commercial transactions and contracts, real property and dispute resolution.

He also specializes in advising on tax law matters in relation to M&A transactions, tax due diligence, tax efficient investment structures and supply chain management, business transfers, share and asset acquisitions, management service agreements, related party transactions, international tax planning on dividends, capital gains, interest, royalties, profit remittances, permanent establishment issues including expatriate fringe benefit schemes, and tax representation of clients in disputes with the Revenue Department.

Praphan is recognized as a Recommended Lawyer in Real Estate & Construction by Legal 500 Asia Pacific (2023).

  • Advising an international school group on exit structure on divestment of interest in the school and negotiating terms and reviewing draft sale and purchase agreement and relevant agreements in selling shares with tax saving opportunities.
  • Advising confidential international and domestic clients on customs valuation and tariff rates on importation of goods into Thailand and representing clients in the appeals process in tax court on disagreements with the tariff code applied by the customs authority.
