Biography

Saithip joined Siam Premier in 1996 and quickly excelled in both corporate matters and mergers and acquisitions. She has advised and assisted on numerous aspects of foreign investment and joint ventures and also has substantial experience in dealing and advising on capital market issues – especially IPOs – either by Thai or foreign companies through holding company structure.

She has also gained experience in Japan, having worked on secondment at Nagashima Ohno & Tsunematsu in Tokyo.

Moreover, Saithip is recognized as a Recommended Lawyer in Corporate / M&A by Legal 500 (2023).

Credentials

Mergers & Acquisitions

  • Acting for a global life insurance company and its Thai subsidiary in the THB 17.5 billion 100% share acquisition of a wholly-owned life insurance subsidiary of a SET-listed bank.
  • Conducting legal due diligence on a major port operator and freight forwarder in Thailand for collaboration and joint investment between one of the world’s largest port operators and a large Thai corporation and preparing transactional agreements including share sale and purchase agreements, shareholders’ agreements, and establishing an SPV for such purpose.

 

Capital Markets

  • Assisting in corporate restructuring of a group of Chinese companies engaging in various businesses (including, footwear, garment, pharmaceutical, logistics, investments) in the PRC and their affiliates in different countries such as Hong Kong, Samoa, Cayman Islands, etc. for the purposes of listing on the Stock Exchange of Thailand (SET) and IPO through holding companies established in Thailand.
  • Acting as Thai legal advisor to a Hong Kong based sponsor in the listing of a holdings company on the Growth Enterprise Market of the Stock Exchange of Hong Kong Limited.
  • Assisting SET-listed household appliance manufacturing company in respect of the share repurchase from minority shareholders for financial management purposes, disposal of the repurchased shares and reduction of the paid up capital for deduction of the unsold repurchased shares.
